Please read these Terms of Service carefully before accessing or using Chek.

1. Definitions

For purposes of these Terms of Service:

Application means the Shopify application provided by the Company under the name Chek, including its features, functionality, updates, and related services.

Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the voting interests or the ability to direct the management of that entity.

Account means an account or Shopify store connection through which You access or use the Service.

Company, We, Us, or Our refers to the entity operating Chek.

Content means text, images, configurations, data, information, or other materials that You submit, upload, transmit, or otherwise make available through the Service.

Device means any device capable of accessing the Service, including a computer, smartphone, tablet, or other internet-enabled device.

Feedback means suggestions, ideas, recommendations, or other feedback You provide concerning the Service or its features.

Service means the Chek application, website, features, functionality, and related services made available by the Company.

Terms or Terms of Service means these Terms of Service, together with any policies or documents expressly incorporated into them.

Third-Party Services means third-party applications, platforms, websites, services, integrations, or content that may interact with or be accessible through the Service.

Website means the Chek website and related web pages operated by the Company.

You or Your means the individual accessing or using the Service, or the company, business, or other legal entity on whose behalf such individual accesses or uses the Service.

2. Acceptance of These Terms

These Terms govern Your access to and use of Chek and establish the agreement between You and the Company.

By installing, accessing, or using Chek, You acknowledge that You have read, understood, and agreed to these Terms. If You do not agree with any provision of these Terms, You must not install or use the Service.

You represent that You are at least 18 years old and legally capable of entering into a binding agreement. The Service is not intended for individuals under 18.

Your use of Chek is also subject to Our Privacy Policy, which explains how We collect, use, store, and disclose information associated with Your use of the Service. By using Chek, You acknowledge and agree to the practices described in the Privacy Policy.

3. Shopify Store and Account Responsibilities

Chek is designed to provide Shopify merchants with tools for creating and managing checkout rules and related checkout conditions.

When You install or use Chek, You are responsible for:

Providing accurate and up-to-date information when required.
Maintaining the security of Your Shopify account and any credentials used to access the Service.
Ensuring that anyone who uses Chek through Your store complies with these Terms.
Reviewing and configuring checkout rules appropriately for Your business.
Ensuring that Your use of the Service complies with applicable laws, regulations, and Shopify requirements.
Maintaining appropriate backups and records of Your store data and configurations.

You are responsible for all activity performed through Your account or Shopify store connection.

You must promptly notify Us if You become aware of unauthorized access to Your account, store, or use of the Service.

4. Use of Checkout Rules

Chek allows You to create, configure, and apply rules that may affect checkout behavior, including conditions relating to products, customers, cart contents, shipping, payment methods, order values, or other supported checkout criteria.

You acknowledge that:

You are solely responsible for the rules You create and activate.
You are responsible for verifying that Your rules operate as intended.
You must not configure rules in a manner that violates applicable laws, regulations, consumer protection requirements, Shopify policies, or the rights of third parties.
Chek does not guarantee that a particular checkout configuration will increase sales, reduce costs, prevent fraud, or achieve any specific commercial outcome.
Certain checkout functionality may depend on Shopify’s available APIs, plans, technical limitations, or policies.
Shopify or other third-party platforms may modify, restrict, suspend, or discontinue functionality that Chek relies upon.

You should regularly review Your checkout rules, particularly after making significant changes to Your Shopify store, products, pricing, shipping, payment methods, or checkout configuration.

5. Your Content

You retain ownership of Content that You submit to Chek, subject to the rights necessary for Us to provide the Service.

By submitting Content through the Service, You grant Us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, modify where technically necessary, and otherwise use such Content solely as reasonably required to operate, maintain, secure, and improve the Service.

You represent and warrant that:

You own the Content or have all necessary rights and permissions to use it;
Your Content does not violate applicable law;
Your Content does not infringe intellectual property, privacy, publicity, contractual, or other rights of any third party; and
Your use of the Content through Chek does not violate Shopify’s terms, policies, or requirements.

You remain responsible for the accuracy, legality, and appropriateness of Your Content.

6. Prohibited Activities

You agree not to use Chek to:

Violate any applicable law, regulation, or legal requirement.
Violate Shopify’s terms, policies, or requirements.
Infringe or misappropriate intellectual property or other rights belonging to another person or entity.
Attempt to gain unauthorized access to the Service, another account, system, or network.
Introduce viruses, malware, malicious code, or other harmful technology.
Interfere with or disrupt the operation, security, or performance of the Service.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where such restriction is prohibited by applicable law.
Circumvent security mechanisms, usage limitations, or access controls.
Use the Service to facilitate fraudulent, deceptive, abusive, or unlawful transactions.
Impersonate another individual, business, or entity.
Use the Service for unauthorized advertising, spam, or solicitation.
Attempt to access or collect information belonging to other users without authorization.
Use automated methods to access the Service in a manner that places an unreasonable burden on Our infrastructure.
Configure checkout rules for purposes that are unlawful, discriminatory, deceptive, or otherwise prohibited.

We reserve the right to investigate suspected violations and restrict, suspend, or terminate access to the Service where appropriate.

7. Service Availability and Changes

We work to keep Chek available and functional, but We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

The Service may occasionally be unavailable because of maintenance, updates, technical problems, infrastructure failures, Shopify platform changes, third-party services, or circumstances beyond Our reasonable control.

We may modify, update, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, We may provide notice of material changes.

We are not responsible for losses resulting from Your inability to access or use a particular feature of the Service, except where liability cannot legally be excluded.

8. Third-Party Services

Chek may integrate with or depend on Shopify and other third-party services.

Third-party services are governed by their own terms, policies, and privacy practices. We do not control and are not responsible for the availability, accuracy, security, functionality, or policies of third-party services.

You acknowledge that changes made by Shopify or another third party may affect the functionality of Chek.

Your use of Shopify remains subject to Shopify’s applicable terms and policies.

9. Intellectual Property

The Service, including its software, design, interface, features, functionality, documentation, trademarks, logos, and original content provided by the Company, is owned by or licensed to the Company and is protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, You may not copy, reproduce, modify, distribute, sell, lease, sublicense, publish, reverse engineer, or create derivative works from any portion of the Service without Our prior written permission.

Your use of Chek does not transfer ownership of the Company’s intellectual property to You.

Chek and related names, logos, and branding are trademarks or trade names of the Company or their respective owners. You may not use them without prior written authorization.

10. Feedback

If You provide suggestions, ideas, recommendations, or other Feedback regarding Chek, You agree that We may use that Feedback without restriction and without compensation or attribution to You.

To the extent permitted by law, You assign to Us all rights, title, and interest in Feedback that can legally be assigned.

11. Data and Backups

We may maintain technical backups or copies of certain information as part of operating the Service. However, We do not guarantee that all Content, configurations, settings, or other data will always be preserved or recoverable.

You are responsible for maintaining independent backups of information that is important to Your business.

We are not responsible for loss, corruption, alteration, or inability to restore Your data except to the extent liability cannot legally be excluded.

12. Copyright and Intellectual Property Complaints

We respect intellectual property rights and expect users of Chek to do the same.

Your notice should include sufficient information to identify the allegedly infringing material and the basis for Your claim.

We may investigate and take appropriate action, including removing or restricting access to allegedly infringing material where appropriate.

13. Links to Third-Party Websites

The Service or Website may contain links to websites or services operated by third parties. These links are provided for convenience and do not constitute an endorsement or guarantee by the Company.

We do not control third-party websites or services and are not responsible for their content, availability, security, privacy practices, or terms.

You should review the applicable terms and privacy policies before using third-party websites or services.

14. Fees and Billing

Certain features or plans of Chek may require payment.

If You subscribe to a paid plan, You agree to pay the applicable fees presented to You at the time of subscription or upgrade. Fees may be processed through Shopify or an applicable third-party payment provider.

Unless otherwise stated, subscription charges are subject to the billing terms presented when You subscribe.

We reserve the right to change pricing or introduce new fees. Where required by applicable law, We will provide reasonable notice of material pricing changes.

Your continued use of a paid Service after the effective date of a pricing change constitutes acceptance of the updated pricing.

15. Suspension and Termination

We may suspend or terminate Your access to Chek, with or without prior notice where permitted by law, if:

You breach these Terms;
You violate applicable law or third-party rights;
Your use of the Service creates a security or operational risk;
You engage in fraudulent or abusive activity; or
We discontinue the Service.

You may stop using Chek at any time and may uninstall the Application from Your Shopify store in accordance with Shopify’s applicable procedures.

Upon termination, Your right to use the Service will cease, except for provisions that by their nature should continue after termination.

16. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to Your use of, or inability to use, the Service.

This includes, without limitation, losses involving:

Lost profits or revenue;
Lost sales or business opportunities;
Lost or corrupted data;
Business interruption;
Loss of goodwill;
Checkout errors or interruptions;
Configuration errors;
Third-party services or integrations; or
Other commercial or business losses.

To the maximum extent permitted by applicable law, the Company’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

the amount You paid to the Company for the Service during the twelve months immediately preceding the event giving rise to the claim; or
US$100, if You have not paid any fees to the Company during that period.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

17. Disclaimer of Warranties

Chek is provided on an “AS IS” and “AS AVAILABLE” basis, to the maximum extent permitted by applicable law.

The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not guarantee that:

Chek will satisfy Your particular business requirements;
the Service will produce a specific commercial result;
checkout rules will always execute exactly as configured;
the Service will operate without interruption or errors;
the Service will be compatible with every Shopify configuration, application, theme, or third-party service;
all errors or defects will be corrected; or
information provided through the Service will always be complete, accurate, or current.

You are responsible for evaluating whether Chek is appropriate for Your business and for monitoring the operation of Your checkout configuration.

Some jurisdictions do not permit certain warranty exclusions or limitations. In those jurisdictions, the exclusions and limitations in these Terms apply only to the maximum extent permitted by applicable law.

18. Indemnification

To the maximum extent permitted by applicable law, You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

Your violation of these Terms;
Your misuse of the Service;
Your Content;
Your checkout configurations or rules;
Your violation of applicable law or third-party rights; or
Your violation of Shopify’s terms or policies.

19. Governing Law

These Terms will be governed by and interpreted in accordance with the laws applicable to the Company’s jurisdiction, without regard to conflict-of-law principles.

Your use of the Service may also be subject to other applicable local, state, national, or international laws.

20. Dispute Resolution

If You have a dispute or concern regarding Chek, You agree to first contact Us at [email protected] and make a reasonable effort to resolve the matter informally.

Nothing in this section prevents either party from seeking remedies that cannot legally be waived or excluded under applicable law.

21. European Union Users

If You are a consumer located in the European Union, You retain the benefit of any mandatory consumer protection provisions provided by the laws of the country in which You reside.

Nothing in these Terms is intended to limit mandatory rights that apply to You under applicable consumer protection laws.

22. United States Government Users

If You are a U.S. federal government end user, the Service is considered a “Commercial Item” as that term is defined in 48 C.F.R. § 2.101 and is provided in accordance with the applicable provisions governing commercial computer software and commercial computer software documentation.

23. United States Legal Compliance

You represent and warrant that:

You are not located in a country or territory subject to applicable United States government embargoes or sanctions that prohibit Your use of the Service; and
You are not identified on applicable United States government restricted-party or sanctions lists.

You agree not to use the Service in violation of applicable export control, sanctions, or trade laws.

24. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, where permitted by law.

The remaining provisions will continue in full force and effect.

25. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or Our right to enforce it later.

A waiver of any particular breach will not constitute a waiver of any subsequent breach.

26. Language and Interpretation

These Terms may be made available in languages other than English for convenience.

If there is a conflict between an English version and a translated version, the English version will control to the extent permitted by applicable law.

27. Changes to These Terms

We may update these Terms from time to time to reflect changes to Chek, applicable laws, business practices, or other operational requirements.

If We make a material change, We will make reasonable efforts to provide appropriate notice before the revised Terms become effective.

The updated Terms will become effective on the date stated in the revised version.

By continuing to access or use Chek after the revised Terms become effective, You agree to the updated Terms. If You do not agree with the revised Terms, You must stop using the Service.
